Healthcare Business Transactions

There has recently been a significant increase in healthcare business transactions across New Mexico, including transactions involving private equity. Dan has represented buyers and sellers of healthcare practices, including medical groups and dental practices. His experience in this area includes drafting and negotiating transaction documents, such as purchase agreements, and helping medical groups handle the logistics of winding down before they join a hospital system

 Whenever a physician retires or relocates a medical practice in New Mexico, the physician must be sure to comply with the New Mexico Medical Board’s rules and regulations regarding patient notification and transfer of medical records. Dan has helped physicians comply with these rules and regulations in the context of a healthcare transaction, such as the sale of a practice. He has drafted patient notification letters and assisted practices with various components of medical record retention and transfer.

 Dan also represents physicians who are forming new business entities or trying to implement a specific internal business structure. He advises physicians on what type of business entities are available and provides input regarding malpractice insurance and what types of governing documents are necessary for the practice, cush as corporate bylaws, operating agreements, and shareholder agreements.
